Terms of Service

1. Agreement to Terms

By accessing or using the website vnt.io and services provided by Virtual Novated Technologies Pty Ltd (ACN: 689 848 084), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing this site.

2. Services

We provide software development services including but not limited to:

• Web application development
• Mobile application development
• MVP (Minimum Viable Product) development
• UI/UX design services
• Consulting and technical advisory

3. Use License

Permission is granted to temporarily access the materials (information or software) on our website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title.

Under this license you may not:

• Modify or copy the materials
• Use the materials for any commercial purpose
• Attempt to decompile or reverse engineer any software
• Remove any copyright or proprietary notations
• Transfer the materials to another person

4. Service Agreement

For software development projects, a separate Service Agreement will be executed that includes:

• Project scope and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality obligations
• Support and maintenance terms (as specified in each individual agreement)

5. Payment Terms

Payment terms, including schedule, accepted methods, late payment fees, refund policy, and currency, will be specified in each individual Service Agreement. All prices are quoted in Australian Dollars (AUD) unless otherwise stated.

6. Intellectual Property

Intellectual property ownership will be defined in each individual Service Agreement. Generally:

• Client owns final deliverables upon full payment
• We retain rights to reusable components and tools
• Portfolio rights to showcase work (with permission)
• Third-party licenses remain with respective owners

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However:

• Software is provided "as is" without warranty of any kind
• We do not guarantee uninterrupted or error-free operation
• We are not liable for third-party services or integrations
• Client is responsible for backup and data protection

Warranty period for bug fixes will be specified in each individual Service Agreement.

8. Limitation of Liability

To the maximum extent permitted by Australian law, our total liability for any claims related to our services shall not exceed the amount paid by you for those services.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship.

A separate Non-Disclosure Agreement (NDA) may be executed for projects requiring additional protection.

10. Termination

Either party may terminate a project agreement with written notice. Termination terms will be specified in the individual Service Agreement.

Standard notice period and termination fees will be defined in each individual Service Agreement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

12. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law (ACL) or other applicable consumer protection legislation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated terms will be posted on this page with a new "Last updated" date.

Continued use of our services after changes constitutes acceptance of the modified Terms.
